This License Agreement is a legal agreement between Licensor and Licensee for the use of the contents of the following Classy Content Titles:

The Licensor agrees to license the following titles to the Licensee:

The following title names shall be referred to as ("Product") in this agreement, and are all of the products covered with this agreement. The Licensor agrees to license the following Titles to the Licensee.

1. Grant of License, General Terms and Conditions

The Licensor who owns and distributes the Product, named above, Grants in accordance with this agreement a Non Exclusive license to only show the images/videos on the Internet sites listed below, or from Thumbnail Post Galleries URLs that directly link to the site displaying the Product. This license for the above product, can and will be issued to other companies at the Licensor's discretion. The Licensor retains titles and ownership of the Product, and gives up no legal rights as part of this agreement. The Licensee acknowledges that unauthorized reproduction of copies of the licensed material may constitute a serious crime, and that such actions may also result in a suit for damages, injunctive relief, and attorney fees, pursuant to this agreement and to other rights that the licensor may have. It is understood, not withstanding any other provisions of this agreement, that the licensor has the unequivocal right to obtain timely injunctive relief to protect its proprietary rights.

2. Acceptable Uses of Licensed Content

Allowed :

   1. The Licensee may use images or videos for member sections and tour/free sections of the licensee‘s paysites

   2. The Licensee may use images or videos for previews on the licensee‘s paysites

   3. Banner/webpage design is allowed

   4. The Licensee may use images or videos for publishing them on WAP or mobile telephones

   5. The Licensee may use images or videos for up to 20 thumbnails on pay per view sponsor affiliates websites

   6. The Licensee may use images or videos for TGPs and MGPs

   7. Image resizing and editing is allowed

   8. Adding your URL to the images is allowed. In fact we advise it to deter content theft

   9. Printing (magazines, journals etc)

  11. Using content on free hosted galleries (FHGs).

      Thumbnail Gallery Posts; In addition to the 10 named sites you may post up to 20 images at one time on TGPs or AVSs, so long as the promotion site is directly linked to the Licensee’s site displaying the product. Licensees are allowed to purchase product to promote other companies or person’s sites on their 10 named sites. The product is to be only used on the client’s mobile phone system for delivering the product to their clients. They may not re-distribute the product in any other way.

3. Unacceptable Uses of Licensed Content

Not Allowed:

   1. Using the models’ real names, either Christian or surname. Revealing the models’ true identities or identity documents is not allowed

   2. Posting or publishing on any site based in Russia or written in the Russian language

   3. Posting or publishing on any mobile phone based or transmitted to Russia or written in the Russian language

   4. Reselling content, to other webmasters or a 3rd party is not allowed

   5. The Licensee may not use images or videos for templates design or paysite templates (without additional written permission and payment of fees)

   6. TV broadcasting and DVD distribution (without additional written permission and payment of fees)

   7. Putting the content into a "Lease Gallery" is not allowed

The Licensee does not have the right to resell, rent, lease, transfer, redistribute or re-license the product.

The Licensee agrees not to sell or distribute this Product for viewing/publishing via any physical method (such as diskette, CD Rom, paper printing or any other technology not specifically named in this document) without additional written permission and payment of fees. The images shall not be used on any "Lease Gallery sites" for instance where other sites pay a fee to send their members or Free Hosted Galleries or given out as free content to affiliates. If you wish to do this you must obtain a new license and pay an additional fee to Classy Content Inc.

The Licensee or their agents or affiliates do not have the right to post, publish or in any way distribute the content to Russian websites, websites worded in Russia or Russian affiliates.

The Licensee may not alter the images to make them appear to be the copyrighted property of anyone other Classy Content Inc. The Licensee must not publish or reveal the models’ real names, identification documents, address or any factual details regarding their true identity, except to officials of the Justice Department or other law officials as may be legally required under 18U.S.C. 2257 or and other current or future legal/government requirements applicable to the publishing of this/these products. Changing the content of the material (such as morphing or editing another person or object into the photo, or changing the appearance of one that is there) is NOT allowed.

4. Payment of Royalties

The Licensee will pay a one-time lifetime fee for this/these Product(s) to the Licensor for the amount of …$. This license allows the Licensee to use the Product on up to ten (10) of the licensee's domains.

5. Revocation of License

The Licensor may revoke the Licensee's license in the event that any of the terms or conditions of this license are violated by the Licensee; if the Licensee declares bankruptcy; if the Licensee sells or closes the business, obtains a refund of the product or fails to pay. The License is automatically revoked if the Licensee obtains a refund of the product payment, or causes the product payment to become invalid through any action, such as fraudulent use or credit card chargeback. All sales are final and no refunds can be given unless the Licensor agrees to give a refund. This license is not transferable, WITHOUT THE WRITTEN CONSENT AND WITH PERMISSION OF THE LICENSOR.

6. Content Editing Provisions

    * Banners and Webpage Design. The Licensee is allowed to use up to 10 images from a set in designing banners or web-page design.

    * A special license must be obtained for any further additional images; contact support@classycontent.com to do this.

    * URLs may be added to the site displaying the product.

    * Resizing, cropping, renaming, changing file format, adjusting/altering colors, gamma, light/dark/contrast etc. of Product are allowed


7. Entire Agreement

This agreement contains the entire agreement of the parties and there are no other promises or conditions in any other agreement whether oral or written. This agreement supersedes any prior written or oral agreements between the parties. This agreement requires that the Licensee returns a copy of all pages to the Licensor in order for this agreement to be binding. The Licensee must provide a complete list of  up to ten domains on which material is to be used. This list is to be returned to the Licensor along with the license agreement.

8. Applicable Law

This agreement shall be governed by International Law and by the laws of the State of Residence of the Licensor. The Licensee holds the Licensor harmless for any legal issues related to the distribution of the material as it relates to community standards and adult entertainment laws as set forth in any city/country, state or country of Licensee and their websites. The Licensor does not warrant this material to be acceptable in your community, and the Licensee assumes full responsibility for determining what images are suitable for distribution. The Licensor warrants the images are fully copyrighted, and this license warrants these images free of intellectual property violations only. These images are in compliance with the 18 USC Section 2257 US Federal law, and any inquiries made under this law must be directed to the Licensor.
